Venue Retreat Partner Agreement

VENUE PARTNER AGREEMENT AND TERMS CONTRACT

This Agreement is presented by Venue Retreat, represented by its founder, David Anderson ("Referrer"), applicable to any venue ("Venue Partner") entering into a partnership. By selecting a partnership option and clicking the agreement box on this form, the Venue Partner agrees to the following terms:

Partnership Options (Select one):

  1. Generic Listing Commission Agreement

  2. Brand Listing Commission Agreement

General Terms:

  1. Partnership Structure:

    • Commission: The Venue Partner shall pay a 10% commission to the Referrer on the final booking price, including accommodation, venue rental, onsite facilities, and full board. Any deviations from this standard commission rate must be documented in a written agreement, mutually agreed upon via email.

    • In some cases the commission can be 15% but this will be agreed upon via email, typically with Venue Partners which are more affordable and rustic.

    • If the venue has stopped or changed a partnership any previous connections and agreements will still fall under the original commission agreement when the connection was made unless both agreed up in writing.

    • Brand Listing and Commission: The Venue Partner may opt for a Brand listing on the Referrer’s platform. No commission is due if the Venue Partner proves that a client initiated contact directly before any connection made by the Referrer.

  2. Payment and Fees:

    • The Venue Partner agrees to pay the agreed commission within 30 days of receiving client payment, provided no refunds are available to the client. The Venue Partner must promptly inform the Referrer of all payments, cancellations, or changes related to the client’s booking.

    • Any client that the Referrer has connected to the Venue Partner will be eligible for commission up to 2 years from the initial connection date.

  3. Listing Details (For Brand Listing and Commission Agreement):

    • The listing shall include images, content, contact information, website links, phone number, and email address. The Venue Partner acknowledges that commission is owed only for clients connected through the Referrer.

    • For Generic Listings there will be no contact information or links. The name given for the listing will be generic and offer no actual address or location.

  4. Relationship Between Parties:

    • The Referrer is an independent contractor, not an employee of the Venue Partner. This Agreement does not establish a joint venture or partnership beyond the scope described herein.

  5. Confidentiality:

    • Both parties agree to maintain the confidentiality of the Agreement terms and any related materials, except as required by law or with mutual consent for disclosure.

  6. Governing Law:

    • This Agreement is governed by the laws of Spain and shall be interpreted accordingly.

  7. Severability:

    • Should any provision of this Agreement be deemed unenforceable or invalid, the remainder shall remain in effect, with the unenforceable provision modified to the minimum extent necessary to make it enforceable.

  8. Entire Agreement:

    • This document represents the entire agreement between the parties, superseding all prior negotiations, agreements, or understandings.

  9. Amendments:

    • Any amendments to this Agreement must be in writing and signed by both parties.

  10. Dispute Resolution:

    • Any disputes arising from this Agreement shall first be attempted to be resolved through negotiation. If unresolved, disputes shall be submitted to arbitration in accordance with Spanish law.

Acceptance: By selecting the preferred partnership option and clicking the agreement box below, the Venue Partner acknowledges and agrees to the terms and conditions set forth in this Agreement.
